This document outlines the legal terms governing all genetic material distributed by Outlier Organics
1. Purpose of Distribution
All genetic materials, including but not limited to seeds, clones, tissue cultures, or any other plant-derived specimens (collectively referred to as “Materials”), provided under Outlier Organics or any affiliated entities or partners (“the Provider”), are strictly for lawful research, genetic preservation, and educational purposes only.
These Materials are not sold, traded, or distributed for germination, cultivation, or production of controlled substances in any jurisdiction where such activities are regulated or prohibited.
2. Research-Only Use
By accepting, receiving, or handling the Materials, the recipient (“the Researcher”) acknowledges and agrees that the Materials are intended solely for:
scientific research, genetic preservation, or strain lineage documentation;
lawful breeding projects conducted in compliance with applicable Canadian federal, provincial, and municipal laws; and
educational or analytical purposes only.
Under no circumstances shall these Materials be germinated, cultivated, or used for the production of any controlled substance in violation of the Cannabis Act (S.C. 2018, c.16) or other applicable laws.
3. Assumption of Responsibility
The Researcher acknowledges and accepts full and exclusive responsibility for:
ensuring compliance with all local, provincial, federal, and international regulations regarding the possession, importation, handling, and potential germination of the Materials;
understanding and adhering to all licensing and permit requirements under the Cannabis Act and related regulations;
verifying the legality of any research or handling activity within their jurisdiction prior to acceptance.
The Provider assumes no liability for failure by the Researcher to comply with applicable laws.
4. Limitation of Liability
To the fullest extent permitted by law, the Provider disclaims all express or implied warranties, including but not limited to:
viability or germination rate of the Materials;
accuracy or stability of genetic lineage;
suitability or fitness for any particular purpose;
freedom from pests, pathogens, contaminants, or mutations;
results or outcomes obtained through use, research, or handling of the Materials.
The Provider shall not, under any circumstances, be held liable for:
any loss of crops, yield, or revenue;
adverse phenotypic expressions or genetic drift;
crop failure, contamination, or environmental damage;
equipment or facility damage;
civil, administrative, or criminal penalties;
personal injury, health issues, or property loss arising directly or indirectly from handling or misuse of the Materials.
5. Prohibition on Commercialization
The Materials and any resulting derivatives remain the intellectual property of the Provider.
Without prior written consent, the Researcher may not:
breed, propagate, or replicate the Materials for resale or distribution;
use any portion of the genetic code for commercial or promotional purposes;
list, advertise, or transfer any Material as a product for sale, trade, or barter.
All unauthorized use constitutes infringement and may result in legal action.
6. Jurisdiction & Enforcement
This Disclaimer shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
7. Acceptance of Terms
By accepting possession of the Materials, whether through direct receipt, third-party transfer, or electronic transaction, the Researcher acknowledges that they have read, understood, and voluntarily agreed to these terms and conditions.
Continued possession or handling of the Materials constitutes binding acceptance of this Disclaimer and its limitations. NOT intended for sale.
